The problem we lived

This Privacy Policy explains how Fincelo Technologies Private Limited ("Fincelo") collects, uses, shares, and protects information when you use the Fincelo platform. Fincelo is compliant with India's Digital Personal Data Protection Act 2023 (DPDPA) and the Information Technology Act, 2000.

• Contract performance: Processing financial data is necessary to provide the service.
• Legal obligation: Compliance with GST law, TDS, and Companies Act requires retention of certain financial records.
• Legitimate interest: Security monitoring and fraud prevention.
• Consent: For marketing communications. Withdrawable at any time.

4. How we use your data

• To provide and operate the Platform and its features
• To generate invoices, recognition schedules, compliance reports, and board materials on your behalf
• To interface with government portals (IRP, GSTN) for e-invoicing and GSTR-1 as authorised by you
• To run AI agents within your defined guardrails
• To communicate platform updates and security notices

5. Data sharing

We do not sell your data. We share data only with: payment processors (Stripe, Razorpay) for Fincelo subscription billing; government portals (IRP/GSTN, TRACES) as required by law; AI service providers under strict data processing agreements; infrastructure providers under equivalent data protection terms; and when required by law or court order. Your financial data is never shared with other Fincelo customers. Workspace data is isolated using Row Level Security.

6. Data security

• AES-256 encryption at rest; TLS 1.3 in transit
• Row-level security (RLS) ensuring complete workspace isolation
• Role-based access controls with audit logging on all sensitive operations
• Regular security assessments and penetration testing
• Incident response compliant with DPDPA 2023 notification timelines

7. Data retention

Financial records are retained for a minimum of 7 years from creation date in compliance with the Companies Act 2013, Income Tax Act 1961, and GST law. Account data is retained for the duration of your subscription plus 3 years unless you request earlier deletion (subject to legal retention obligations).

8. Your rights under DPDPA 2023

• Right of access: Request a summary of personal data we hold about you
• Right to correction: Request correction of inaccurate data
• Right to erasure: Request deletion subject to legal retention requirements
• Right to grievance redressal: File a complaint with our Data Protection Officer
• Right to nominate: Nominate a person to exercise rights on your behalf

9. Cookies

We use strictly necessary cookies for authentication. We use analytics cookies (with consent) to understand Platform usage. No advertising or tracking cookies. Manage preferences in your account settings.

10. Cross-border data transfers

Data is primarily stored in India. Where transferred to processors outside India (e.g. AI service providers), we ensure equivalent data protection through contractual safeguards as required by DPDPA 2023.

These Terms of Service ("Terms") govern your access to and use of the Fincelo platform. By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance

By signing up or using Fincelo, you represent that you have the authority to bind your organisation to these Terms. If you do not agree, do not use the Platform.

2. Services

Fincelo provides a SaaS billing and revenue intelligence platform including contract intelligence, billing and subscription management, ASC 606 / IFRS 15 revenue recognition, India GST and TDS compliance, AR aging and collections, FP&A reporting, and autonomous AI agents. Modules available depend on your subscription plan.

3. Account security

• Provide accurate information and keep it updated
• Maintain confidentiality of your credentials — each user requires their own account
• Notify us immediately at security@fincelo.app of any unauthorised access

4. Permitted use

You may use the Platform for your organisation's legitimate internal business purposes only. You may not: reverse-engineer the Platform; use it to process data for third parties without written authorisation; circumvent security measures; resell or sublicense access; or use AI agent outputs as professional financial or legal advice without independent verification.

5. Data ownership & portability

Your data remains yours. Fincelo processes it on your behalf as a data processor. On termination, you may request an export of your data within 30 days. After 60 days post-termination, data is deleted in accordance with our retention policy and applicable law.

6. Subscription, payment & billing

• Subscriptions billed in advance on a monthly or annual basis
• Annual plans billed upfront; refundable only as per Section 7
• Monthly plans may be cancelled at any time; effective at end of current period
• Overage charges (AI agent actions beyond plan limits) billed monthly in arrears
• Prices in INR (India) or USD (US). GST applicable on India subscriptions
• Price changes communicated with 30 days' notice; do not affect current annual period
• Payment failure may result in suspension after 7 days' grace period

7. Refund policy

• Free trial: 14 days, no credit card required
• Monthly plans: No refunds. Cancel before next billing date to avoid future charges.
• Annual plans: Pro-rated refund available within 30 days of the first paid annual period, minus any setup or onboarding costs.
• Service credit: Material downtime (>4 hours cumulative in a calendar month) entitles you to one additional month of service credit.
• Refunds not available where the Platform has been used to generate IRNs, file GST returns, or execute compliance submissions.

8. Intellectual property

The Fincelo platform, its design, software, algorithms, AI models, and brand are owned by Fincelo Technologies Private Limited. You receive a limited, non-exclusive, non-transferable licence to use the Platform during your subscription.

9. Confidentiality

Both parties agree to maintain strict confidentiality of the other's non-public information. Fincelo employees access customer financial data only as necessary for support, with documented justification.

10. Warranties & disclaimers

The Platform is provided "as is". We warrant it will perform materially per its documentation. AI-generated outputs (contract extraction, CFO briefings, compliance recommendations) are tools to assist your team — not a substitute for professional financial, legal, or tax advice. You are responsible for verifying AI outputs before regulatory filings.

11. Limitation of liability

Fincelo's total liability for any claim shall not exceed fees paid in the 3 months preceding the claim. Fincelo is not liable for indirect, consequential, or punitive damages, including regulatory fines arising from reliance on AI-generated outputs.

12. Term & termination

Either party may terminate for material breach with 30 days' notice and opportunity to cure. Fincelo may suspend accounts immediately for violation of Permitted Use or non-payment after notice.

13. Compliance with law

You are responsible for ensuring your use complies with applicable law including Companies Act 2013, Income Tax Act 1961, and GST law. While Fincelo automates compliance workflows, ultimate regulatory responsibility rests with you.

14. Governing law & disputes

Governed by the laws of India. Disputes subject to binding arbitration under the Arbitration and Conciliation Act 1996. Seat of arbitration: Delhi, India. Language: English.

15. Changes to Terms

We may update these Terms with 30 days' notice via email and in-Platform notification. Material changes will not apply retroactively to current billing periods.
